1. About the Platform

Orca is a marketplace that connects independent virtual assistants ("VAs") with entrepreneurs, founders, and businesses ("Clients"). Orca provides the technology and platform; it does not employ VAs and is not a party to any agreement between VAs and Clients.

2. Eligibility

You must be at least 16 years old to use the Platform. By creating an account, you represent that you meet this requirement.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. Orca is not liable for any loss arising from unauthorized access to your account.

4. VA Profiles

VAs may create profiles describing their skills, availability, working region, primary language, and rates. All profile information must be accurate and truthful. Orca reserves the right to remove or suspend profiles that violate these Terms or our quality standards.

5. Marketplace payments

Payments between Clients and VAs on marketplace engagements (including trials) are facilitated through the Platform using third-party payment processors. Applicable processing fees are charged on the client side as disclosed at checkout. VAs keep 100% of their stated engagement rate unless otherwise disclosed. Orca does not guarantee payment between users and is not responsible for disputes over payment amounts or work quality.

5A. Team OS subscriptions and pay runs

Team OS (also referred to historically as Workspace Pro or Team Pro) is a subscription product for running a virtual team: Command Center access, time tracking and approvals, tasks, and pay runs for approved hours. Subscription fees are billed as disclosed at checkout. When you run a Team OS pay run, you authorize Orca to charge your payment method for (a) the sum of approved hours × each VA’s owner-set hourly rate, plus (b) a transparent processing/platform fee disclosed in the product and at checkout (default target on the order of a few percent plus a small fixed amount; the live rate is shown before you pay). That fee is charged to the Client and is not deducted from the VA’s hourly rate. Payouts to VAs are sent to their connected Stripe Connect (or successor) accounts. Orca is not an employer of record, does not employ VAs, does not withhold taxes, and does not provide employee benefits. You and each VA are solely responsible for classifying the relationship, tax filings, and compliance in your jurisdictions. Pay runs are contractor payment facilitation only.

6. Conduct

When using the Platform, you agree not to: (a) violate any applicable laws; (b) harass, abuse, or threaten other users; (c) post false or misleading information; (d) attempt to circumvent Platform security; (e) use the Platform for any unlawful or unauthorized purpose; (f) scrape or harvest data from the Platform without permission.

7. Intellectual Property

The Platform, including its design, code, and content (excluding user-generated content), is owned by Orca and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our prior written consent.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. Orca does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, Orca shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including failed or delayed payouts by third-party processors.

10. Indemnification

You agree to indemnify and hold harmless Orca and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

11. Termination

You may close your account at any time. Orca may suspend or terminate your account if you violate these Terms or engage in conduct that Orca determines is harmful to the Platform or other users.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
